加州企业使用公章吗

虽然在历史上，普通法系的国家的公司曾广泛使用公章，但是在现代的美国，公司公章作为文件真实性验证手段的使用已经较为少见了。

每个州法律不完全一样，在加州，公司公章的效力是零。

虽然加州公司法典第207条a款（Cal. Corp. Code §207(a)）规定公司有权使用公司公章（adopt, use, and at will alter a corporate seal），但是在在文件上不盖章也没有任何影响（the failure to affix a seal does not affect the validity of any instrument）。

1872年通过的加州民法典第1629条（Cal. Civ. Code §1629）就规定了所有盖章文件和不盖章文件的区别一律废除（All distinctions between sealed and unsealed instruments are abolished.）。同年通过的加州民事诉讼法第1932条（Cal. Civ. Proc. Code § 1932）规定了在本州文件盖不盖章一个样（there shall be no difference hereafter, in this State, between sealed and unsealed writings）。

所以在加州签合同时如果对方只盖章而没有签字的话，这份合同就是一叠废纸，签合同时请认准签名。
